Article 1. Applicability and Nature of the Service

  1. These terms and conditions apply to all offers, agreements and services of Wheelion B.V., hereinafter referred to as "Wheelion", offered via the platform https://wheelion.nl.
  2. Wheelion provides a search engine and data platform that collects, indexes, processes and makes searchable vehicle data from external sources (third parties).
  3. Wheelion's services are expressly a best-effort obligation. The platform is offered in its current state ("as-is" and "as-available"). We do not guarantee that the offering is complete, up-to-date or error-free at all times, as we depend on external data sources.

Article 2. Availability, Outages and Force Majeure

  1. We strive for the highest possible availability but do not guarantee uninterrupted access to the platform.
  2. Wheelion reserves the right to temporarily take the platform offline for maintenance, upgrades or the resolution of disruptions, including when external sources make changes that disturb our systems.
  3. If a disruption, the loss of data sources, or other technical impossibilities (including blocks or anti-scraping measures by third parties) lasts more than 14 consecutive days and thereby renders the platform substantially unusable, force majeure applies.
  4. In the event of persistent force majeure (as described in paragraph 3), the user has the right to terminate the paid subscription with immediate effect. The user is then entitled to a pro-rata refund of the prepaid subscription costs for the period during which the platform was unusable. Further liability or compensation is excluded.

Article 3. Removal of Listings and Sources

  1. Wheelion reserves the right to remove specific listings or listings from a specific external party from the platform at any time and without prior notice.
  2. This may occur, among other reasons, at the request or demand of the relevant third party, upon suspicion of illegality, or for technical or strategic reasons.
  3. The removal of a specific data source does not entitle the user to a refund or immediate termination of the subscription, as long as the platform continues to function at its core.

Article 4. Data Processing, Mappings and Indications

  1. Wheelion aggregates, processes and enriches raw data from third parties. This includes, among other things, "mapping" (standardising and linking) of vehicle data such as makes, models, trim levels, registration plates and vehicle options.
  2. In addition, the platform generates various automated estimates and calculations, including (but not limited to) tax calculations, price indications, expected time-on-market and market advice.
  3. All such processing, mappings and calculations are expressly indicative in nature and are executed automatically. Wheelion, its systems and its external sources may make errors. No rights may be derived in any way from the data and indications displayed. They never constitute binding financial or tax advice.

Article 5. Liability and User Responsibility

  1. Wheelion has no control over the original input of the data collected and accepts no liability for the accuracy, reliability or currency of data supplied by third parties, nor for errors arising from our automated processing thereof.
  2. The information on Wheelion.nl is intended for informational purposes only.
  3. The user is at all times fully responsible and liable for any (commercial) decisions — such as purchasing, selling, pricing or tax filings — made on the basis of the platform. It is the express responsibility of the user to verify essential information (such as the actual physical presence of options, the condition of a vehicle or the correctness of a tax filing) themselves or through an expert.
  4. Wheelion is in no way liable for any form of direct or indirect damage, including loss of profit, missed savings or losses, arising from the use of the platform.

Article 6. User Account and Security

  1. An account on Wheelion.nl is strictly personal and exclusively linked to the registered user or a specific employee of the registered company.
  2. It is expressly not permitted to share login credentials with third parties or to have a single account used by multiple persons (account sharing), unless a specific multi-user licence has been concluded.
  3. The user is responsible for the confidentiality and adequate security of their login credentials.
  4. Upon discovery or reasonable suspicion of unauthorised sharing or misuse of login credentials, Wheelion reserves the right to suspend or terminate the account with immediate effect, without entitlement to a refund.

Article 7. Rates, Invoicing and Payment

  1. For access to the paid platform, the user owes the agreed subscription fees. All rates are exclusive of VAT, unless stated otherwise.
  2. Invoicing and collection (e.g. via direct debit or credit card) take place prior to the subscription period.
  3. If a payment cannot be collected successfully, is charged back or falls outside the payment term, the user is in default by operation of law. No further notice of default is required.
  4. In the event of payment default, Wheelion has the right to suspend access to the account immediately until the full outstanding amount has been paid. The payment obligation for the current period continues during the suspension.
  5. All costs Wheelion must incur to collect the claim, including statutory commercial interest and extrajudicial collection costs, are entirely at the expense of the user.
